Clear rules for working together: scope, payments, IP, warranties and disputes.

Short version: you own what you pay for, we deliver in scoped milestones with a 90-day bug-fix warranty, changes are priced in writing, and disputes go through mediation first, then Ghaziabad courts. The detail follows — written to be read, not to hide behind.

Who we are & scope

These Terms form an agreement between you and Techfleek Technologies Pvt Ltd (“TechFleek”, “we”) for (a) browsing techfleek.com and (b) the design, development, cloud, AI and growth services described in signed proposals / statements of work (“SOWs”). If an SOW conflicts with these Terms, the SOW prevails for that engagement. By using the site or engaging us you accept these Terms; if you act for a company, you bind that company.

Services, quotes & change control

  • Quotes are valid 15 days and based on information you provide. A fixed scope exists only after a signed SOW with milestones, acceptance criteria and timelines.
  • Change requests — new features, redesigns, third-party API shifts — are scoped and priced separately in writing; timelines extend accordingly.
  • We may use vetted subcontractors while remaining responsible for delivery. Client-side delays (content, credentials, feedback beyond 5 business days) extend timelines day-for-day and may re-sequence sprints.

Your responsibilities & acceptable use

  • Provide accurate requirements, timely feedback, licensed content (text, images, fonts, datasets) and required access.
  • You warrant you own or license all client materials and that they do not infringe intellectual property, privacy or law. You indemnify us against claims arising from client materials or unlawful use of deliverables.
  • You must not misuse the site or deliverables: no abusive scraping, no probing or disrupting infrastructure, no unlawful, infringing or harmful uploads, and no removing proprietary notices.

Fees, payments & taxes

  • Standard fixed-price schedule: 40% advance, 40% on beta/UAT, 20% on go-live/acceptance, unless the SOW states otherwise. Time-and-materials is billed bi-weekly with timesheets.
  • Late payments attract 1.5% per month (or the maximum allowed by law). Work may pause for invoices over 15 days overdue and credentials or deployments may be withheld until cleared.
  • Taxes including GST, gateway charges, app-store fees, hosting and third-party licenses are extra unless expressly listed. Estimates exclude data-migration cleanup and app-store review delays unless scoped.

Intellectual property

  • On receipt of full payment, we assign to you the custom-developed code and designs created specifically for you, excluding pre-existing IP, libraries, frameworks and our internal tooling — which are licensed to you perpetually, non-exclusive and non-transferable for use in the deliverable.
  • Open-source components remain under their respective licenses; AI-assisted outputs may draw on third-party models, so you review them for confidentiality and IP before commercial use.
  • Unless a mutual NDA restricts it, we may showcase non-confidential work (name, logo, outcome metrics) in our portfolio and case studies.

Acceptance, warranties & support

  • UAT: you have 10 business days from delivery to report reproducible defects against the acceptance criteria; silence is deemed acceptance.
  • 90-day bug-fix warranty for defects reproducing on the specified stack — excluding third-party changes, misuse, content edits or new features. Extended SLAs and AMCs are available separately.
  • Unless hosting is in scope, you own production infrastructure, backups, renewals and store accounts; we hand over documentation, credentials and runbooks at closure.

Confidentiality, data & liability

  • Each party protects the other's confidential information with reasonable care for 3 years (indefinitely for trade secrets). Personal data is governed by our Privacy Policy, Cookie Policy and applicable DPAs.
  • To the maximum extent permitted by law, each party's aggregate liability is capped at fees paid in the preceding 6 months; neither party is liable for indirect, consequential, or loss-of-profit/data damages.
  • Either party may terminate for convenience with 15 days' notice (30 days for fixed-price SOWs); you pay for work performed plus non-cancellable commitments. Material breach may be terminated after 15 days' uncured notice.

Governing law, disputes & contact

These Terms are governed by the laws of India. Parties first attempt good-faith mediation for 30 days; failing which, courts at Ghaziabad, Uttar Pradesh have exclusive jurisdiction. If any clause is unenforceable, the remainder continues in force.
